This procurement procedure shall be open on equal terms to economic operators that are nationals of a member of Fusion for Energy or are established in the territory of a member of Fusion for Energy (i.e. Member States of the European Union and Switzerland).

The following information and documents shall be provided in the expression of interest:

a) Full name of the entity, legal form, address, statutory registration number, date of registration, VAT registration number, person authorised to sign on behalf of the Economic Operator, details of the contact person responsible for the tender. (Please refer to Annex 7 “Company_Identification_Form” available at https://industryportal.f4e.europa.eu for the format to be filled in).

b) Commercial undertakings must provide a transcript or a certificate, issued by the competent body (namely the commercial register in the country of provenance or the country of the main office of the candidate) or their act of incorporation as commercial undertaking.

Non-commercial undertakings may provide a copy of their act of incorporation if, under the law of their country of provenance or the country of their main office, they are not subject to public registry.

Non-commercial physical persons must provide a copy of their passport or other equivalent identification document.

c) Power of attorney duly completed and signed to demonstrate that the person signing is entitled to take a commitment on behalf of the company.

d) Declaration that in the event the entity is invited to tender, their tender will include a Declaration that it understands that ITER has been designated by France as an “Installation Nucléaire de Base (INB)” and that French nuclear regulations will be applicable to part of the activities to be undertaken under the contract. The entity should therefore be able to demonstrate that the personnel responsible for those relevant activities are suitably qualified to work in accordance with these regulations.

In order to be able to participate in this tendering procedure, candidates must not find themselves in any of the exclusion situations referred to in Articles 83 and 84 of Fusion for Energy’s Financial Regulation adopted by the Decision of the Governing Board of 22.10.2007 as last amended on 18.12.2007.

In particular, candidates shall be excluded from participation in the present procurement procedure if:

(a) they are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

(b) they have been convicted of an offence concerning their professional conduct by a judgement which has the force of res judicata;

(c) they have been the subject of a judgement which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Joint Undertaking’s or to the Communities’ financial interests;

(d) they have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the Joint Undertaking or those of the country where the contract is to be performed;

(e) they have been guilty of grave professional misconduct proven by any means which the Joint Undertaking can justify;

(f) they are currently subject to an administrative penalty imposed by the Community institutions as referred to in the general Financial Regulation;

(g) they are subject to conflict of interest;

(h) they are guilty of misrepresentation in supplying the information required by the contracting authority as a condition of participation in the contract procedure or fail to supply information.

For each of these points from (a) to (h), companies shall submit a declaration on honour duly signed and dated by its legal representative stating that they are not in any of such situation (based on the Specimen in Annex 1 available at https://industryportal.f4e.europa.eu).

In case of joint tenders (groupings), the exclusion criteria will be assessed individually to each member of the grouping. Therefore, the declaration on honour, duly signed and dated, stating that the candidate is not in one of the above mentioned situation, must be provided by each of the members of the grouping. If a member of the grouping is subject to exclusion, the rest of the grouping shall be excluded if the grouping after exclusion of such member fails to meet the selection criteria.

The tenderer to whom the contract is to be awarded shall provide, within a time limit defined by the joint undertaking and preceding the signature of the contract, the relevant documentary evidence, as detailed in the tender documentation.

The following documents will be accepted as proof that the tenderer is not in any of the situations mentioned in points a), b), c),d), e), f):

i) for a), b) and c), the production of a recent extract from the judicial record or, failing that, an equivalent document recently issued by a judicial or administrative authority in the country of origin or provenance, showing that those requirements are satisfied;

ii) in the case mentioned in d), a recent certificate issued by the competent authority of the Member State concerned;

Where the document or certificate referred to above is not issued in the country concerned it may be replaced by a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance;

iii) in the cases mentioned in e) and f), the tenderer will have to provide a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance.

Depending on the national legislation of the country in which the tenderer is established, the documents referred to above shall relate to legal persons and/or natural persons including company directors or any person with powers of representation, decision-making or control in relation to the tenderer.

Fusion for Energy may waive the obligation of the winning tenderer to submit this evidence if it has already been submitted to Fusion for Energy for the purposes of another procurement procedure and provided that the documents are not more than one year old starting from their issuing date and that they are still valid.

Situación económica y financiera:

The candidate must have adequate financial and economic capacity to perform the contract within the indicated timeframe. To this end, the following documents shall be provided by the candidate (in case of a grouping the following document shall be provided by each member of the grouping):

(a) A statement of the candidate’s overall turnover for the last 3 financial years in relation to which the accounts have been closed.

(b) A statement on the good financial standing of the candidate from a bank;

(c) Evidence of relevant professional risk indemnity insurance and decennial insurance under French law for economic operators established in France or equivalent for economic operators established outside France;

(d) The presentation of balance sheets and profit and loss account for the last three years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established. Balance Sheets and Profit and Loss account shall be presented both in their official format and in the template provided by Fusion for Energy in Annex 2 (Economic_Financial_Capacity.xls available at https://industryportal.f4e.europa.eu).

For the assessment of the economic and financial capacity, the following ratios/noteworthy values and threshold will be considered (for these calculations the average of each parameter over the last 3 financial years according to information provided in Annex 2 will be considered):

A) Minimum viability standards.

For these calculations the average Total points “T”, representing the sum of average SubTotals (from ST1 to ST5) over the last three financial years according to information provided in Annex 2, will be considered.

ST1: Liquid Ratio = [(Current Assets) - (Stocks)] / (Current Liabilities) x 100; if i <50 : 0 point; if 50 ≤ i ≤ 100 : 1 point; if i > 100 : 2 points.

ST2: Interest Cover = EBIT / Financial Expenses; if i< 2 : 0 point; if 2 ≤ i ≤ 4 : 1 point; if i > 4 : 2 points.

ST3: Profit Margin = (Profit.Loss before tax & extra.items) / (Turnover) x 100; if i < 2 : 0 point; if 2 ≤ i ≤ 4 : 1 point; if i > 4: 2 points.

ST4: Gross Margin = (Gross Profit) / (Turnover) x 100; if i < 4 : 0 point; if 4 ≤ i ≤ 8 : 1 point; if i > 8 : 2 points.

ST5: Solvency = (Total Equity) / (Total Assets) x 100; i < 7: 0 point; if 7 ≤ i ≤ 14: 1 point; if i > 14: 2 points.

Nota: “i” means “indicator”.

B) Noteworthy values/ratios to be achieved.

Turnover.

— Noteworthy value: Average overall turnover over the past three years,

— Evaluation: Negative if noteworthy value < 350 000 000 EUR.

Simplified Cash Flow = (Net Profit) + (Depreciation) - (Extra. Revenues) + (Extra. Expenses).

— Noteworthy value: average cash flow over the past three years,

— Evaluation: Negative if ratio < 5 000 000 EUR.

Niveles mínimos de normas:

In relation with both A and B:

The economic and financial capacity will be considered adequate for performance of the contract.

If total of points granted T (sum of SubTotals) is ≥ 5.

And.

At least one of the two noteworthy values/ ratios (turnover, cash flow) is considered positively.

(i) With regard to groupings the noteworthy values/ratio will be assessed at the level of the grouping as a whole.

(ii) If, for some exceptional reason which the Joint Undertaking considers justified, the candidate is unable to provide the references requested above, its economic and financial capacity may be proven by any other means which the Joint Undertaking considers appropriate.

(iii) An economic operator may, where appropriate, rely on the financial capacities of other entities including subcontractors, regardless of the legal nature of the links which it has with them in order to fulfill the above criteria. In such a case, such other entities will be evaluated as they were a member of a consortium.

The economic operator must in that case prove to Fusion For Energy that it will have at its disposal the resources necessary for performance of the contract, for example by producing an Undertaking on the part of those entities to place those resources at its disposal. Templates for this purpose are provided in Annex 5 and 6 available at https://industryportal.f4e.europa.eu.

Capacidad técnica y profesional:

(a) A list of contracts with a brief description of the subject matter for the following:

(i) 4 contracts during the last 5 years for the detailed design and construction of industrial buildings and;

(ii) 1 contract during the last 10 years for the detailed design and construction of concrete framed buildings on a nuclear licensed site or refurbishment of a building on a nuclear licensed site (other than those listed under III.2.3 a i) and;

(iii) 1 contract for the manufacturing of heavy nuclear door(s) during the last 10 years of which the design and certification have met the competent nuclear regulatory authority standards and for which the testing, installation and commissioning have been performed on a nuclear licensed site OR 1 contract during the last 10 years for the manufacturing and installation of heavy nuclear removable components that ensure either confinement or have a shielding function and for which the design and certification have met the competent nuclear regulatory authority standards and for which the testing, installation and commissioning have been performed on a nuclear licensed site. (Please refer to Annex 3 available at https://industryportal.f4e.europa.eu for the format to be filled in).

For each of the contracts listed above a document issued by the customer certifying satisfactory execution of the contract shall also be included.

(b) Description of the manpower of the company, contract related staff and available staff for the contract – worldwide and EU (Please refer to Annex 4 available at https://industryportal.f4e.europa.eu for the format to be filled in).

The description of manpower shall include:

— A statement of the average annual manpower of the company and the number of managerial and design staff for the last three years,

— Organisational flowchart of the candidate (in case of a grouping, flowchart of each member).

(d) Professional and quality certificates.

(e) A document presenting the candidate’s general health and safety and environmental information (i) policy (ii) management procedures (iii) statistical records during the last 5 years demonstrating candidate’s records are better than EU reference level in terms of working hours, number of accidents, number of lost working days per month for main contract and subcontractors (iv) Health and safety records for each of the 5 contracts listed in a i) and a ii) above in terms of working hours, number of accidents, number of lost working days per month for main contract and subcontractors.

(f) A report describing previous experience of (i) detail design and construction of major civil engineering and finishing works and (ii) design, manufacture and installation of heavy nuclear doors, together with client’s certificates of satisfaction for (i) and (ii) above (no more than 50 pages in total).

If known, a list of other possible subcontractors which the candidate may intend to use to provide the works.

(g) Statement of equipment available to the company for carrying out the contract.

(h) Declaration of any related ITER work performed in the last 5 years by the candidate, any of the companies pertaining to the candidate or by nominated subcontractors.

An economic operator may, where appropriate, rely on the capacities of other entities including subcontractors, regardless of the legal nature of the links which it has with them. It must in that case prove to the Joint Undertaking that it will have at its disposal the resources necessary for performance of the contract, for example by producing an Undertaking on the part of those entities to place those resources at its disposal. Templates for this purpose are provided in Annex 5 and 6 available at https://industryportal.f4e.europa.eu.

In relation with point III.2.3.a.iii.

— The consortium may as for other technical criteria either include such capacity within the grouping or rely on the capacity of a subcontractor.

Given the criticality of the nuclear heavy doors for the overall contract, Fusion For Energy would be happy for candidates to explore various technical solutions. The candidates are therefore invited to provide an alternative specialist manufacturer experienced in the design, manufacture and installation of heavy nuclear doors (Alternative Nuclear Door Specialist Manufacturer) to the one included in the grouping or nominated subcontractor (First Choice Nuclear Door Specialist Manufacturer). Please refer to Annex 8 available at https://industryportal.f4e.europa.eu for the format to be filled in.

— No more than one first choice nuclear door specialist manufacturer and one alternative nuclear door specialist manufacturer will be accepted,

— A nuclear heavy door manufacturer may not take part in more than 2 separate requests to participate for this tender procedure (whether as first choice nuclear door specialist manufacturer or as alternative nuclear door specialist manufacturer),

— Candidates shall provide a signed statement from the proposed door manufacturers (whether as first choice nuclear door specialist manufacturer or as alternative nuclear door specialist manufacturer) to confirm that the door manufacturer is not taking part in more than 2 requests to participate,

— Selected candidates who have proposed a first choice nuclear door specialist manufacturer and a alternative nuclear door specialist manufacturer will have to confirm which one of these two will be retained to continue the dialogue by the time they submit the first technical solution in the Competitive Dialogue. When submitting the first technical solution, candidates shall provide a signed statement to confirm that the candidate will retain the nominated door manufacturer through the competitive dialogue process to manufacture and installation.

Niveles mínimos de normas:

Under point (a) (i) the minimum amount of each contract shall not be less than 200 000 000 EUR (two hundred million euros) (ii) the minimum amount of the contract shall not be less than 50 000 000 EUR (fifty million euros) and (iii) the contract shall either have a value exceeding 1 000 000 EUR (one million euros) OR relate to the manufacturing of heavy nuclear door(s) or heavy nuclear removable components weighing more than 30 tonnes.

In case of (b) the minimum manpower of the candidate (in case of a grouping, the grouping as a whole) will have to be above 4 000 employees (in EU).

Tenders can be submitted by groupings of economic operators who will not be required to adopt a particular legal form prior to the contract being awarded provided that each member of the grouping is jointly and severally liable towards Fusion for Energy. However, a grouping of companies must nominate a coordinator to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the service and for coordination and safety.

A company may not be coordinator of several groupings for this procedure.

A company may not take part in 2 requests to participate if acting as coordinator of one grouping and at the same time taking part in a second request to participate either individually or as a non-coordinating member of another grouping.

Groupings of companies must provide the documents and information required in points III.2.1, III.2.2 (b), (c), and (d) and III.2.3 (c), (d), and (e) for each company member of the grouping.

The documents and information required in points III.2.2 (a) and III.2.3 (a), (b), (f), (g) and (h) apply to the grouping as a whole.

F4E shall then select candidates according to the following technical and professional capacity criteria (up to 100 points maximum):

(a) Candidate’s Health and Safety performance demonstrated through the health and safety general statistical record of the company(ies) over the last 5 years.

Points will be awarded for low incidence, low frequency and low severity rates measured against EU indicators, stating working hours, number of accidents, number of lost working days per month, including subcontractors. (Maximum points awarded 15 points).

(b) Candidate’s Health and Safety performance demonstrated through the health and safety statistical record of the company(ies) on the 4 contracts selected for the technical capacity under section III.2.3 a i.

(c) Relevance of candidate’s experience in relation to this contract demonstrated through documents provided for the 4 civil engineering contracts described in III.2.3 a i (below items described per contract): (Maximum points awarded 25 points).

i. Total volume of concrete

ii. Reinforcement average density

iii. Total weight of structural steel

iv. Total numbers of floors

v. Total number of embedded parts

vi. Total area of cladding including roofing

vii. Total number of passenger and goods lifts

(d) Relevance of candidate’s experience in Nuclear Heavy doors in relation with the contract described in section III.2.3 a iii involving the design, certification, manufacture, test, installation and commission of heavy doors on a nuclear licensed site. (Maximum points awarded 15 points). The following information will be provided:

i. Total weight of doors

ii. Total numbers of doors

iii. Installation method statements

(e) Candidate’s capacity in minimising the impact of the construction work on local communities and environment demonstrated through 3 recent examples (from contracts selected for the technical capacity under section III.2.3 a i.) (Maximum points awarded 10 points). The following information will be provided:

i. Total number of local workers (peak)

ii. Total number of non local workers (peak)

iii. Total number of different disciplines by contract

iv. Ratio of living accommodation provided by the company for non local workers

v. Ratio of common transportation organized by the company for workers

(f) Candidate’s experience in cost/schedule optimization used to drive project methodology to improve project outcome. Experience demonstrated through 3 recent examples (from contracts selected for the technical capacity under section III.2.3 a i.). For points i, ii, and iii below, the candidate will provide the measurable value added benefits of each of the 3 examples and identify cost savings (Maximum points awarded 10 points). The following information will be provided:

i Successful proposed win-win strategy with the project owner based on the value of cost savings achieved. This point will be assessed on the basis of the ratio final cost savings resulting from proposals by the Contractor / overall amount of the contract.

ii Successful proposed win-win strategy with the project owner based on the schedule savings achieved. This point will be assessed on the basis of the ratio final schedule savings resulting from proposals by the Contractor / overall duration of the contract.

iii Size and ratio of prefabricated elements in the projects based on the value of prefabricated components as a ratio to overall project value.

iv Total reinforcement tonnes installed per day and per tower crane (1 shift or 2 shifts).

v Duration for the installation of the concrete plant vi Duration for concrete qualification from award of contract.

(g) Provision of documents demonstrating for concrete structures above 1 m thickness (1 point awarded for each valid example up to a maximum of 5):

i Methodology employed regarding propping and formwork.

ii Methodology to ensure appropriate temperature control of the concrete of such structure.

(h) Provision of documents demonstrating examples of high technical issues encountered on projects (from contracts selected for the technical capacity under section III.2.3 a i.) and the technical solution proposed to solve these issues (1 point awarded for each valid example up to a maximum of 5).

Ud over bekendtgørelsen om tildeling af den indledende kontrakt, i henhold til afsnit IV.2.1), blev F4E-OPE-0744 tildelt d. 9 december 2015 med EUT-bekendtgørelsesnummeret: 2015/S 243-440490. F4E-OPE-0744 svarer til en forhøjelse af beløbet til uforudsete udgifter under kontrakt F4E-OPE-286, og den blev tildelt som resultat af et udbud med forhandling i henhold til artikel 100, afsnit 2, paragraf (g), litra (i) i gennemførelsesbestemmelserne for F4E. Baseret på de ovennævnte supplerende procedurer, svarer udbuddets samlede værdi til: 325 393 484,07 EUR (som angivet i afsnit V.2.4)).
