The general objective of the activities is to progress in the preliminary design of the ancillary sub-systems for both HCLL and HCPB-TBS in view of supporting fulfillment of F4E commitment for the future Design Reviews (Conceptual Design Review and Preliminary Design Review).

They are:1) Review and critical assessment of the technical baseline of all seven ancillary sub-systems;2) Sizing and performance analysis of the main components of the seven ancillary sub-systems;3) Internal (components in sub-systems) and external (sub-systems in ITER facilities) integration engineering.4) Support to preparation of relevant technical documentation for design reviews with IO

Activities to be implemented through task orders within the present lot shall be aimed at demonstrating the feasibility at the level of the preliminary design of the Test Blanket System with respect to maintenance operations of its sub-systems and sub-components in ITER facilities (mainly, Tokamak building, Tritium building and Hot cell facilities), and at addressing as well the transportation strategy of subcomponents from ITER facility to other nuclear facilities in Europe.

The present lot is dedicated to the transients and accident analysis of the two European TBS designs. It includes the overview of the suitable relevant computer codes, their status of development and validation, as well as the available TBS geometrical model(s) and relevant input data, as well as the safety demonstration itself by analyzing accident sequences.

ITER is a joint international research and development project that aims to demonstrate the scientific and technical feasibility of fusion power. The partners in the project - the.

ITER Parties - are the European Union (represented by EURATOM), Japan, the People´s Republic of China, India, the Republic of Korea, the Russian Federation and the USA. ITER will be constructed in Europe, at Cadarache in the South of France.

Habilitación para el ejercicio de la actividad profesional:

The following information and documents shall be provided in the tender:

— Full name of the entity, legal status, VAT status and registration number, address, telephone and fax numbers, the name of the contact person responsible for the tender as well as the name of the legal representative of the entity, as signatory of the contract.

The information to be provided under this paragraph shall be accompanied with a transcript or a certificate, issued by the competent body - namely the commercial register - in the country of provenance or the country of the main office of the candidate.

Non-commercial undertakings may provide a copy of their act of incorporation, if, under the law of their country of provenance or the country of their main office, they are not subject to public registry.

Non-commercial physical persons must provide a copy of their passport or other equivalent identification document.

Tenderers shall be excluded from participation in the present procurement procedure if:

a) they are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

b) they have been convicted of an offence concerning their professional conduct by a judgement which has the force of res judicata;

c) they have been guilty of grave professional misconduct proven by any means which the Joint Undertaking can justify;

d) they have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the Joint Undertaking or those of the country where the contract is to be performed;

e) they have been the subject of a judgement which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Joint Undertaking's or the Communities financial interests;

f) they are currently subject to an administrative penalty imposed by the Community institutions as referred to in the Financial Regulation applicable to the budget of the European communities.

Tenderers shall be excluded from the award of the contract if during the present procurement procedure:

g) they are subject to a conflict of interest

h) they are guilty of misrepresentation in supplying the information required by the Joint Undertaking as a condition of participation in the contract procedure or fail to supply this information.

In their tenders, tenderers shall provide a declaration on their honour, duly signed and dated, stating that they are not in one of the situations listed above. Only the tenderer to whom the contract is to be awarded shall provide the documents mentioned below before signature of the contract and within the deadline given by Fusion for Energy.

The following documents will be accepted as proof that the tenderer is not in any of the situations mentioned in points a), b), c),d), e), f):

i) for a), b) and e), the production of a recent extract from the judicial record or, failing that, an equivalent document recently issued by a judicial or administrative authority in the country of origin or provenance, showing that those requirements are satisfied

ii) in the case mentioned in d), a recent certificate issued by the competent authority of the Member State concerned. Where the document or certificate referred to above is not issued in the country concerned it may be replaced by a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance;

iii) in the cases mentioned in c) and f), the tenderer will have to provide a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance.

Depending on the national legislation of the country in which the tenderer is established, the documents referred to above shall relate to legal persons and/or natural persons including company directors or any person with powers of representation, decision-making or control in relation to the tenderer.

Situación económica y financiera:

The tenderer shall have adequate financial and economic capacity to perform the contract. To this end, for each Lot, the following documents shall be provided by the tenderer in the offer:

a. A statement of the tenderer’s overall turnover for the previous three financial years.

b. The presentation of Balance Sheets and Profit and Loss account for the last three years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established. Balance Sheets and Profit and Loss account shall be presented both in the official format of the tenderer and in the template (excel sheet and signed up pdf copy to be included in the tender) provided by Fusion for Energy.

Niveles mínimos de normas:

With regards to the turnover:

— Lot 1 - Minimum criterion to meet: the average annual turnover for the last 3 financial years must be above 5 000 000 EUR,

— Lot 2 - Minimum criterion to meet: the average annual turnover for the last 3 financial years must be above 2 500 000 EUR,

— Lot 3 - Minimum criterion to meet: the average annual turnover for the last 3 financial years must be above 1 500 000 EUR,

— Lot 4 - Minimum criterion to meet: the average annual turnover for the last 3 financial years must be above 3 000 000 EUR,

— Lot 5- Minimum criterion to meet: the average annual turnover for the last 3 financial years must be above 3 500 000 EUR.

The average will be calculated starting from the 3 individual ratios per year.

In case of joint requests to participate (joint tendering), this selection criterion, will be assessed in relation to the tendering group as a whole.

In case a tenderer submits a tender for more than one lot, the applicable turnover threshold will be the sum of the thresholds of the relevant lots.

For the assessment of the economic and financial capacity, the following ratios/noteworthy values and thresholds (calculated as average over the last three (3) financial years for which the accounts have been closed) will be considered for each LOT:

— Liquidity ratio: Li = (Current assets - Stocks - Debtors > 1 year) /Short-term debt (bank and non-bank).

Li will be considered negative if Li < 0.5.

— Profitability ratio: Pi = Gross Operating Profit / Turnover.

Li will be considered negative if Pi < 0.05.

— Solvency ratio: Si = Total debt / (Capital and reserves - 50 % intangible assets).

Si will be considered negative if Si > 6.00 or Si < 0.

The financial viability will be considered negative if more than one of the three financial viability ratios is negative.

In case of joint requests to participate (joint tendering), this selection criterion will be assessed in relation to each individual group member.

If, for some exceptional reason which the Joint Undertaking considers justified, the tenderer is unable to provide the references requested above, its economic and financial capacity may be proved by any other means which the Joint Undertaking considers appropriate contract, for example by producing an Undertaking on the part of those entities to place those resources at its disposal.

Capacidad técnica y profesional:

For each Lot, the Tenderer must prove the full coverage of the professional competences and experience required to provide the services described in Annex B.

Niveles mínimos de normas:

The tenderer will demonstrate:

a) Through 4 to 10 reference projects executed within the last seven years, to have the 12 professional competences required for lot 1 / 6 for lot 2 / 7 for lot 3 / 10 for lot 4 and 9 for lot 5, as detailed in Annex D of the Tender Specifications.

b) To have capability for expertise for 7 professional softwares in lot 1 / 2 in lot 2 / 3 in lot 3 / 3 in lot 4 / 2 in lot 5. Number of software experts and years of experience are detailed in Annex D of Tender Specifications and shall be demonstrated through CVs. When appropriate, possibility is given to the tenderer to mention other equivalent software than the reference one, provided that the level of qualification and documentation is at least equivalent to the reference software mentioned by F4E.

c) To have adequate staffing capacity according to requirements detailed in Annex D of the Tender Specification (e.g. years of professional experience, education, English level) for the project manager in charge of the framework contract, engineer(s), CAD officer(s)/Technician(s) and Quality officer. Availability and experience of staff will be assessed through CVs provided by the Tenderer against the profile requirements defined in Annex D of the Tender Specifications.

d) The tenderer must have a documented and established quality program approved to an international and recognized standard. The tenderer must also demonstrate the capacity to comply with the quality and general requirements as defined in ‘F4E-QA-115 – Supplier Quality Requirements’. For that purpose, the tenderer shall fill out the QA Questionnaire for Suppliers (Annex 10). The assessment will be considered adequate where:

— at least 25 positive ‘yes’ answers are given out of the 34 questions of the questionnaire, and where,

— a positive ‘yes’ answer is given for the following query references: #1, #2, #2i, #5, #9b, #9c, #9e, #9f, #9i, #9j, #9l, #9m, and #10 to #19.

e) The tenderer subcontractors (in which the tenderer rely to meet this selection criterion) must demonstrate the capacity to comply with the quality and general requirements as defined in ‘F4E-QA-115 – Supplier Quality Requirements’. The Selected subcontractor shall produce evidence in terms of certification/ internal procedures before the contract award. For that purpose, the tenderer subcontractor shall fill out the QA Questionnaire for Suppliers (Annex 10). The assessment will be considered adequate where:

— at least 17 positive ‘yes’ answers are given out of the 34 questions of the questionnaire, and where,

— a positive ‘yes’ answer is given for the following query references: #5, #7, #9b, #9c, #9j, #9l, #9m, #12, #15, #16 and #19.

In the Specific Contracts, pre-financing financial guarantee will be required for pre-financing payments.

A pre-financing payment and a balance payment are foreseen for each Specific Contract. For Specific Contracts with a duration above six months, interim payments may be included.

Companies can consider two ways of collaborating in an offer: either as joint partners in the tender or through subcontracting. Offers may also combine both approaches. In any case, the tenderer must specify clearly whether each company involved in the offer is acting as a partner in a joint offer or as a subcontractor (this also applies where the various companies involved belong to the same group, or even where one is the parent company of the others). Partners in a joint tender shall assume joint and several liability towards Fusion for Energy for the performance of the contract as a whole. The tender has to be signed by an authorised representative of each member of the group. If the person signing is doing so pursuant to a power of attorney, a copy of such power of attorney must be included in the tender.

If tenderers intend to tender with a partner and have already set up a consortium or similar entity to that end, this has to be mentioned in the tender, together with any other relevant information.

Tenders can be submitted by groupings of economic operators who will not be required to adopt a particular legal form prior to the contract being awarded.

If the grouping has not yet adopted any legal form, tenderers shall be aware of the fact that, if they are awarded the contract, Fusion for Energy will require them to acquire a specific legal form before the contract is signed. This can take the form of:

— an entity with legal personality recognised by a Member State; or,

— an entity without legal personality but offering sufficient protection of Fusion For Energy’s contractual interests (depending on the Member State concerned, this may be, for example, a consortium or a temporary association).

Joint tenders must describe in detail how their co-operation will be organised in order to achieve the expected results. This organisation must cover both technical aspects and administrative/financial issues. The grouping must nominate one group leader to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the service, and for coordination and safety.
