The European Joint Undertaking for ITER and the Development of Fusion Energy ("Fusion for Energy")

The scope of the contract covers the design, supply, installation and commissioning of the mechanical and electrical equipment for the following proposed buildings on the ITER site in Cadarache. The scope could be extended with 2 specific options related to the operation / maintenance of the supplied equipment from the RFE (ready for equipment) deadlines to the handover deadlines (for each building) and from these handover deadlines to the ITER Facility commissioning deadline. Whenever the terms system or systems are used they should be understood as a set of different components linked in order to provide the necessary services for a compliant operation of the facility.

The scope of supply includes design on the basis of functional specifications, manufacturing, factory acceptance tests / certification, installation, commissioning and operating together with all supporting documentation to meet nuclear regulatory authority standards.

This procurement procedure shall be open on equal terms to economic operators that are nationals of a member of Fusion for Energy or are established in the territory of a member of Fusion for Energy (i.e. Member States of the European Union and Switzerland).

The following information and documents shall be provided in the expression of interest:

a) Full name of the entity, legal form, address, statutory registration number, date of registration, VAT registration number, person authorised to sign on behalf of the economic operator, details of the contact person responsible for the tender. (please refer to annex 7 “company_identification_form” available at https://industryportal.f4e.europa.eu for the format to be filled in).

b) Commercial undertakings must provide a transcript or a certificate, issued by the competent body (namely the commercial register in the country of provenance or the country of the main office of the candidate) or their act of incorporation as commercial undertaking.

Non-commercial undertakings may provide a copy of their act of incorporation if, under the law of their country of provenance or the country of their main office, they are not subject to public registry.

Non-commercial physical persons must provide a copy of their passport or other equivalent identification document.

c) Power of attorney duly completed and signed to demonstrate that the person signing is entitled to take a commitment on behalf of the company.

d) Declaration that in the event the entity is invited to tender, their tender will include a declaration that it understands that ITER has been designated by France as an “installation nucléaire de base (INB)” and that French nuclear regulations will be applicable to part of the activities to be undertaken under the contract. The entity should therefore be able to demonstrate that the personnel responsible for those relevant activities are suitably qualified to work in accordance with these regulations.

In order to be able to participate in this tendering procedure, candidates must not find themselves in any of the exclusion situations referred to in Articles 83 and 84 of Fusion for Energy’s Financial Regulation adopted by the Decision of the Governing Board of 22.10.2007 as last amended on 18.12.2007.

In particular, candidates shall be excluded from participation in the present procurement procedure if:

(a) they are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

(b) they have been convicted of an offence concerning their professional conduct by a judgement which has the force of res judicata;

(c) they have been the subject of a judgement which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Joint Undertaking’s or to the Communities’ financial interests;

(d) they have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the Joint Undertaking or those of the country where the contract is to be performed;

(e) they have been guilty of grave professional misconduct proven by any means which the Joint Undertaking can justify;

(f) they are currently subject to an administrative penalty imposed by the Community institutions as referred to in the general Financial Regulation;

(g) they are subject to conflict of interest;

(h) they are guilty of misrepresentation in supplying the information required by the contracting authority as a condition of participation in the contract procedure or fail to supply information.

For each of these points from (a) to (h), companies shall submit a declaration on honour duly signed and dated by its legal representative stating that they are not in any of such situation (based on the specimen in annex 1 available at https://industryportal.f4e.europa.eu).

In case of joint tenders (groupings), the exclusion criteria will be assessed individually to each member of the grouping. Therefore, the declaration on honour, duly signed and dated, stating that the candidate is not in one of the above mentioned situation, must be provided by each of the members of the grouping. If a member of the grouping is subject to exclusion, the rest of the grouping shall be excluded if the grouping after exclusion of such member fails to meet the selection criteria.

The tenderer to whom the contract is to be awarded shall provide, within a time limit defined by the joint undertaking and preceding the signature of the contract, the relevant documentary evidence, as detailed in the tender documentation.

The following documents will be accepted as proof that the tenderer is not in any of the situations mentioned in points (a), (b), (c),(d), (e), (f):

i) for a), b) and c), the production of a recent extract from the judicial record or, failing that, an equivalent document recently issued by a judicial or administrative authority in the country of origin or provenance, showing that those requirements are satisfied;

ii) in the case mentioned in d), a recent certificate issued by the competent authority of the Member State concerned;

Where the document or certificate referred to above is not issued in the country concerned it may be replaced by a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance;

iii) in the cases mentioned in (e) and (f), the tenderer will have to provide a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance.

Depending on the national legislation of the country in which the tenderer is established, the documents referred to above shall relate to legal persons and/or natural persons including company directors or any person with powers of representation, decision-making or control in relation to the tenderer.

Fusion for Energy may waive the obligation of the winning tenderer to submit this evidence if it has already been submitted to Fusion for Energy for the purposes of another procurement procedure and provided that the documents are not more than one year old starting from their issuing date and that they are still valid.

Situación económica y financiera:

The candidate must have adequate financial and economic capacity to perform the contract within the indicated timeframe. To this end, the following documents shall be provided by the candidate (in case of a grouping the following document shall be provided by each member of the grouping):

(a) A statement of the candidate’s overall turnover for the last 3 financial years in relation to which the accounts have been closed.

(b) A statement on the good financial standing of the candidate from a bank;

(c) Evidence of relevant professional risk indemnity insurance and decennial insurance under French law for economic operators established in France or equivalent for economic operators established outside France;

(d) The presentation of balance sheets and profit and loss account for the last 3 years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established. Balance sheets and profit and loss account shall be presented both in their official format and in the template provided by Fusion for Energy in annex 2 (Economic_Financial_Capacity.xls available at https://industryportal.f4e.europa.eu).

For the assessment of the economic and financial capacity, the following ratios/noteworthy values and threshold will be considered (for these calculations the average of each parameter over the last three financial years according to information provided in annex 2 will be considered):

A) Minimum viability standards.

For these calculations the average total points “T”, representing the sum of average SubTotals (from ST1 to ST4) over the last 3 financial years according to information provided in annex 2, will be considered.

ST1: liquid ratio = [(current assets) - (stocks)] / (current liabilities) x 100; if i <40 : 0 point; if 40 ≤ i ≤ 100 : 1 point; if i > 100 : 2 points.

ST2: profit margin = (profit.loss before tax & extra.items) / (Turnover) x 100; if i < 0 : 0 point; if 0 ≤ i ≤ 4 : 1 point; if i > 4: 2 points.

ST3: gross margin = (gross profit) / (turnover) x 100; if i < 0 : 0 point; if 0 ≤ i ≤ 8 : 1 point; if i > 8 : 2 points.

ST4: solvency = (total equity) / (total assets) x 100;if i < 0: 0 point; if 0 ≤ i ≤ 10: 1 point; if i > 10: 2 points.

Nota: “i” means “indicator”.

B) Noteworthy values/ratios to be achieved.

— Turnover: average overall turnover over the past three years,

— Evaluation: negative if noteworthy value < 540 000 000 EUR.

Simplified cash flow = (net profit) + (depreciation) - (extra. revenues) + (extra. expenses).

— Noteworthy value: average cash flow over the past 3 years,

— Evaluation: negative if ratio < 5 000 000 EUR.

Niveles mínimos de normas:

In relation with both A) and B):

The economic and financial capacity will be considered adequate for performance of the contract.

If total of points granted T (sum of SubTotals) is ≥ 4.

and.

One of the noteworthy values/ ratios (turnover, simplified cash flow) are considered positively.

(i) With regard to groupings the noteworthy values/ratio will be assessed at the level of the grouping as a whole the viability indicators will be assessed for each company member of the grouping.

(ii) If, for some exceptional reason which the Joint Undertaking considers justified, the candidate is unable to provide the references requested above, its economic and financial capacity may be proven by any other means which the Joint Undertaking considers appropriate.

(iii) An economic operator may, where appropriate, rely on the financial capacities of other entities including subcontractors, regardless of the legal nature of the links which it has with them in order to fulfill the above criteria. In such a case, such other entities will be evaluated as they were a member of a consortium.

The economic operator must in that case prove to Fusion For Energy that it will have at its disposal the resources necessary for performance of the contract, for example by producing an Undertaking on the part of those entities to place those resources at its disposal. Templates for this purpose are provided in annex 5 and 6 available at https://industryportal.f4e.europa.eu.

Capacidad técnica y profesional:

(a) A list of contracts with a brief description of the subject matter for the following:

(i) At least 2 contracts for the HVAC system (aa) during the last 5 years completed since the 1.8.2006 or still on-going at the time of deadline of submission of Expression of Interest for the design, supply, installation and commissioning of an industrial project.

At least 1 contract for each of the 3 following systems and networks during the last 5 years completed since the 1.8.2006 or still on-going at the time of deadline of submission of expression of interest for the design, supply, installation and commissioning of an industrial project:

(bb) Electrical system.

(cc) I&C system

(dd) Gas and liquid networks.

(ii) At least 2 contracts during the last 10 years completed since the 1.8.2001 or still on-going at the time of deadline of submission of expression of interest for the design, installation and commissioning of nuclear HVAC systems which have met or are meeting the competent nuclear regulatory authority standards and for which the testing, installation and commissioning have been performed or will be performed on a nuclear facility (Please refer to annex 3 available at https://industryportal.f4e.europa.eu for the format to be filled in).

A report describing previous experience of.

(aa) for (i) design, supply, installation, commissioning of the systems and.

(bb) for (ii) design, supply, installation, commissioning of nuclear HVAC systems, with client’s certificates of satisfaction and professional and quality certificates.

(cc) If available for (i) and (ii) above (no more than 50 pages in total). Documents issued by the customer certifying satisfactory execution of the contracts would be appreciated.

(b) Description of the manpower of the company, including the number of staff with skills necessary to perform the contract and the number of staff with the necessary skills available to perform the contract during the 66 month– worldwide and EU (please refer to annex 4 available at https://industryportal.f4e.europa.eu for the format to be filled in).

The description of manpower shall include:

(i) A statement of the average annual manpower of the company and the number of managerial and design staff for the last 3 years

(ii) Organisational chart and flowchart of the candidate (in case of a grouping, organisational chart and flowchart of each member as well)

(c) 1 document presenting the company including the description of the global safety management policy (e.g. main facts and events, safety indicators and last records, resulting programmes, trainings).

(d) If known, a list of other possible subcontractors which the candidate may intend to use to provide the works.

(e) Statement of equipment available to the company for carrying out the contract.

(f) Declaration of any related ITER work performed in the last 5 years by the candidate, any of the companies pertaining to the candidate or by nominated subcontractors.

An economic operator may, where appropriate, rely on the capacities of other entities including subcontractors, regardless of the legal nature of the links which it has with them. It must in that case prove to the Joint Undertaking that it will have at its disposal the resources necessary for performance of the contract, for example by producing an undertaking on the part of those entities to place those resources at its disposal. Templates for this purpose are provided in Annex 5 and 6 available at https://industryportal.f4e.europa.eu.

Niveles mínimos de normas:

Under point (a).

(i) the minimum amount of each on-going or finished contract (and specific own participation in a grouping contract) shall not be less than

(aa) HVAC system:

(aaa) 2 000 000 EUR (two million euros) solely for the design and in addition.

(bbb) 30 000 000 EUR (thirty million euros) for the (design) supply, installation and commissioning.

(bb) Electrical system: 15 000 000 EUR (fifteen million euros).

(cc) I and C: 15 000 000 EUR (fifteen million euros)

(dd) Gas and Liquid networks: 15 000 000 EUR (fifteen million euros).

With respect to contracts referred to under (ii):

(aa) Candidates must provide details of at least 1 contract for or including design work; such design work must have a value of at least EUR 1 000 000 (one million); and.

(bb) Candidates must also provide details of at least 1 contract having a value of at least EUR 5 000 000 (five million) for supply, installation and commissioning; alternatively, candidates may provide details of up to 5 contracts for supply, installation and commissioning, the total value of which is at least EUR 5 000 000 (five million); if candidates rely on multiple contracts, then each individual contract must have a value of at least EUR 1 000 000 (one million) for supply, installation and commissioning.

In case of (b) the minimum average manpower of the candidate (in case of a grouping, the grouping as a whole) will have to be above 4 000 employees (in EU).

Sums due shall be paid within no more than forty-five calendar days from the date on which an admissible payment request is registered by the responsible authorizing officer; the date of payment shall be understood to mean the date on which the joint undertaking's account is debited.

Forma jurídica que adoptará la agrupación de operadores económicos adjudicataria del contrato:

Tenders can be submitted by groupings of economic operators who will not be required to adopt a particular legal form prior to the contract being awarded provided that each member of the grouping is jointly and severally liable towards Fusion for Energy. However, a grouping of companies must nominate a coordinator to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the service and for coordination and safety.

A company may not be coordinator of several groupings for this procedure.

A company may not take part in 2 requests to participate if acting as coordinator of one grouping and at the same time taking part in a second request to participate either individually or as a non-coordinating member of another grouping.

Groupings of companies must provide the documents and information required in points III.2.1, III.2.2 (b), (c), and (d) III.2.3 (c), and (e) for each company member of the grouping.

The documents and information required in points III.2.2 (a) and III.2.3 (a), (b), (d), and (f), apply to the grouping as a whole.

The envelope, containing 3 paper copies and one electronic copy of the documentation referred to in Section III.2 shall be addressed to the Procurement Officer indicated under Section I.1 and shall be marked as follows:

The deadline for submission of expression of interest is indicated in section IV.3.4) of this Contract Notice.

This contract notice has been published on the Fusion for Energy industry portal website. Please note that only the contract notice published on the Fusion for Energy industry portal website (https://industryportal.f4e.europa.eu) is authentic.

Economic operators shall be aware that any further communication related to the present tender procedure will only be published on the Fusion for Energy Industry portal website, as mentioned above. It is therefore strongly suggested to regularly visit the above mentioned webpage.

By submitting a request to participate the economic operator agrees that Fusion for Energy may publish on its webpage a list with the names and addresses of the selected candidates. In case the economic operator does not agree, he shall express this disagreement in writing to the above mentioned contact point (Section I.1), before the time limit for receipt of the requests to participate.

Applicable rules.

It should be noted that the present procurement procedure is governed by the rules laid down in the Financial Regulation of Fusion for Energy adopted by the Decision of the Governing Board of 22 October 2007 as last amended on 18 December 2007 and the Implementing Rules of the Financial Regulation adopted by the Decision of the Governing Board of 22 October 2007 as last amended on 10.6.2010.

The official language of Fusion for Energy is English. Documentation provided shall be in English or accompanied by an official translation of the relevant parts. Failure to comply with this requirement, may lead to the exclusion of the candidate from the tendering procedure.

In accordance with Article 90 of Fusion for Energy’s Financial Regulation, Fusion for Energy may, before the contract is signed, either abandon or cancel the award procedure or part thereof without the tenderers being entitled to claim any compensation.
