Situación económica y financiera:
The tenderer must have adequate financial and economic capacity for performing the contract. To this end, the following documents shall be provided by the tenderer:
a.) A statement of the tenderer’s overall turnover and turnover concerning the services relevant to the lot he applied for, for the 3 previous financial years of which accounts have been closed;
b.) The presentation of balance sheets and profit and loss account for the last 3 years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established.

Balance sheets and profit and loss account shall be presented both in the official format of the tenderer and and in the template provided by Fusion for Energy in the financial capacity assessment form (annex 9 of the tender specifications).

Niveles mínimos de normas:
For the assessment of the economic and financial capacity, the following ratios/noteworthy values and thresholds (calculated as average over the last three (3) financial years for which the accounts have been closed) will be considered for each lot:
A) Minimum viability standards
Minimum viability standards will be assessed in relation to each company individually. For these calculations the average total points “T”, representing the sum of average sub-totals (from ST1 to ST5) over the last 3 financial years according to information provided in annex 9 of the tender specifications, will be considered:

ST1: liquid ratio = [(current assets) - (stocks)] / (current liabilities) x 100; if i <50 : 0 point; if 50 ≤ i ≤ 100 : 1 point; if i > 100 : 2 points.
ST2: interest cover = EBIT / financial expenses; if i<2 : 0 point; if 2 ≤ i ≤ 4 : 1 point; if i >4 : 2 points.
ST3: profit margin = (profit.loss before tax & extra.items) / (turnover) x 100; if i < 2 : 0 point; if 2 ≤ i ≤ 4 : 1 point; if i > 4: 2 points.
ST4: gross margin = (gross profit / turnover) x 100); if i < 4 : 0 point; if 4 ≤ i ≤ 8 : 1 point; if i > 8 : 2 points.
ST5: solvency = (total equity) / (total assets) x 100; i < 12 : 0 point; if 12 ≤ i ≤ 26: 1 point; if i > 26: 2 points.
Nota: “i” means “indicator”.
B) Noteworthy values/ratios to be achieved
Turnover:
— Noteworthy value: average overall turnover over the past 3 years,
— Evaluation: negative if noteworthy value < 6 000 000 EUR.
Simplified cash flow = (net profit) + (depreciation) - (extra. revenues) + (extra. expenses).
— Noteworthy value: average cash flow over the past 3 years,
— Evaluation: negative if ratio < 1 000 000 EUR.
In relation with both A and B:
The economic and financial capacity will be considered adequate for performance of the contract if:
a) total of points granted T (sum of sub-totals) is ≥ 5 and at least one of the 2 noteworthy values/ ratios (turnover, cash flow) is considered positively.
Or.
b) the overall turnover of the tenderer is > 1 000 000 000 EUR
With regard to joint tenders (groupings) the noteworthy values/ratio B) will be assessed at the level of the grouping as a whole in case a) applies, but individually in case b) does.
If, for some exceptional reason which the Joint Undertaking considers justified, the tenderer is unable to provide the references requested above, its economic and financial capacity may be proved by any other means which the Joint Undertaking considers appropriate.

An economic operator may, where appropriate, rely on the financial capacities of other entities including subcontractors, regardless of the legal nature of the links which it has with them in order to fulfill the above criteria. In such a case, such other entities will be evaluated as they were a member of a consortium.

The economic operator must in that case prove to Fusion For Energy that it will have at its disposal the resources necessary for performance of the contract, for example by producing an Undertaking on the part of those entities to place those resources at its disposal. Templates for this purpose are provided in Annex 13 and 14 of the tender specifications.

The tenderer must have adequate technical and professional capacity to perform the contract. In case of joint tenders (groupings) the technical and professional capacity will be assessed in relation to the combined capacities of all members of the grouping, as a whole. Niveles mínimos de normas:
The overall technical and professional capacity of the tenderer, despite the lot applied for, will be assessed in the following fields (please refer to annex 8-technical and professional capacity of the tender specifications):
1. Professional capacity:
— The project manager (for each member, if technically relevant, in case of grouping of economic operators) with 10 years of working experience out of which 5 in project management,
— The technical responsible (for each member, if technically relevant, in case of grouping of economic operators) with 7 years of working experience in welding.
2. CATIA CAD V5 design: please provide over the last five (5) years at least two (2) project descriptions demonstrating your principal supply/experience in this field. Each reference should include the following information:
— Client name,
— Start/end date (mm/yy),
— Description of supply and/or services, with details.
In case of a joint offer, the required information can be provided for the group of tenderers as a whole.
3. Machining and welding, in particular when implemented with martensitic steel(s): please provide over the last ten (10) years at least three (3) project descriptions demonstrating your principal supply/experience in this field. Each reference should include the following information:

Ejecución del contrato
Depósitos y garantías exigidos: Pre-financing financial guarantee required for pre-financing payment.

For the main services payments are divided into pre-financing, interim payment and balance payment.
For the storage period: 5 payments in total, once per year and each equal to 20 % of the storage price.
Forma jurídica que adoptará la agrupación de operadores económicos adjudicataria del contrato:
Companies can consider 2 ways of collaborating in an offer: either as joint partners in the tender or through subcontracting. Partners in a joint tender shall assume joint and several liability towards Fusion for Energy for the performance of the contract as a whole. If tenderers intend to tender with one or more partners and have already set up a consortium or similar entity to that end, this has to be mentioned in the tender, together with any other relevant information.

Tenders can be submitted by groupings of economic operators who will not be required to adopt a particular legal form prior to the contract being awarded.
If the grouping has not yet adopted any legal form, tenderers shall be aware of that, if they are awarded the contract, Fusion for Energy will require them to acquire a specific legal form before the contract is signed. This can take the form of:
— an entity with legal personality recognised by a member state; or,
— an entity without legal personality but offering sufficient protection of Fusion For Energy’s contractual interests (depending on the member state concerned, this may be, for example, a consortium or a temporary association).
Joint tenders must describe in detail how their co-operation will be organised in order to achieve the expected results. This organisation must cover both technical aspects and administrative/financial issues. The grouping must nominate one group leader to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the service, and for coordination and safety.
