The European Joint Undertaking for ITER and the Development of Fusion Energy ("Fusion for Energy")

The scope of the contract is for Electrical Power Distribution (EPD) and covers the installation, commissioning and maintenance of electrical components (with partial supply) on ITER site in Cadarache (FR). There is also included in the scope of the contract the civil and technical works for the construction, commissioning and maintenance of buildings and trenches.
The scope may be divided into two parts: work that is definitely required and options, execution of which may, or may not, be required (for OPTIONS see section II.2.2).
Whenever the terms system or systems are used they should be understood as a set of different components linked in order to provide the necessary services for a compliant operation of the facility.
The scope of supply includes supply (manufacturing, factory acceptance tests / certification), installation, commissioning together with all supporting documentation (including the as-built documentation) to meet nuclear regulatory authority standards as applicable.
Scope of works brief description.
The following scope of works for TB06 shall be considered:
1. Supply, installation, commissioning and maintenance of the following electrical equipment. For some components the supply is not included, the division is as follows:
— Supply not included: the following components shall be installed, commissioned and maintained.
SSEN/PPEN 400 kV substation bays (circuit breakers, line, disconnectors, current transformers, voltage transformers, etc.).
SSEN/PPEN 400kV transformers.
PPEN 66kV substation bays (circuit breakers, line, disconnectors, current transformers, voltage transformers, etc.).
SSEN/PPEN 22kV switchgears (electrical cabinets).
SSEN Medium Voltage load centers (including MV transformers, MV and LV equipment).
PPEN HV cables (400 kV and 66 kV).
— Supply included: the following components shall be supplied, installed, commissioned and maintained (except those related to buildings 11-14-74-13-15-16-17-61-51-52-71-75).
SSEN LV load centers in containers.
LV Sub-distribution boards.
SSEN cables.
2. Design, construction, commissioning and maintenance of the following building:
— Main alternating current distribution building (B36).
The scope of works comprises the design studies for the civil structure and for all the mechanical and electrical installations associated with the building.
NOTE 1: The building mechanical and electrical installations refer to HVAC, low voltage distribution, I&C (building monitoring system, fire detectors), gas and liquid networks including fire protection distribution, etc.

This contract notice has been published also on the Fusion for Energy industry portal website (https://industryportal.f4e.europa.eu). Economic operators shall be aware that any further communication related to the present call for expressions of interest will only be published on the Fusion for Energy industry portal website, as referenced above. It is therefore strongly suggested to regularly visit the above mentioned website. By submitting a request to be selected to tender the economic operator agrees that Fusion for Energy may publish on its website a list with the names and addresses of the selected candidates. In case the economic operator does not agree to this, he shall express this disagreement in writing to the Procurement Officer (section I.1), before the time limit for receipt of the requests to be selected to tender expires (section IV.3.4). APPLICABLE RULES. This procurement procedure is governed by the rules laid down in the Financial Regulation of Fusion for Energy adopted by the Decision of the Governing Board of 22 October 2007 as last amended and the Implementing Rules of the Financial Regulation adopted by the Decision of the Governing Board of 22 October 2007 as last amended. The full scope of activities to be provided during the implementation of the contract may be divided into the firm part of the contract (baseline) and one or more options. Options may be released at Fusion for Energy's sole discretion.

This procurement procedure shall be open on equal terms to economic operators that are nationals of a member of Fusion for Energy or are established in the territory of a member of Fusion for Energy (i.e. Member States of the European Union and Switzerland).

THE FOLLOWING INFORMATION AND DOCUMENTS SHALL BE PROVIDED IN THE REQUEST TO BE SELECTED TO TENDER:

a) Full name of the economic operator, legal form, address of the registered office, telephone and fax numbers, statutory registration number, date of registration, VAT registration number, person authorized to sign on behalf of the economic operator, details of the contact person responsible for the request to be selected to tender. (Please refer to Annex 04 “Company Identification Form” available at https://industryportal.f4e.europa.eu/default.aspx for the template to be filled in).

b) Commercial undertakings shall provide a transcript or a certificate issued by the competent body (i.e. the commercial register in the country of origin or the country of the registered office of the economic operator) or their act of incorporation as commercial undertaking. Non-commercial undertakings may provide a copy of their act of incorporation if, under the law of their country of origin or the country of their main office, they are not subject to public registry. Natural persons shall provide a copy of their passport or other equivalent identification document.

c) Power of attorney duly completed and signed to demonstrate that the person signing is entitled to take a commitment on behalf of the economic operator.

d) Declaration that in the event the economic operator is invited to tender, its tender will include a declaration that it understands that ITER has been designated by France as an “Installation Nucléaire de Base” (INB) and that French nuclear regulations will be applicable to part of the activities to be undertaken under the contract. The economic operator should therefore be able to demonstrate that the personnel responsible for these activities are suitably qualified to work in accordance with those regulations.

In order to be able to participate in this tendering procedure, candidates must not find themselves in any of the exclusion situations referred to in Articles 83 and 84 of Fusion for Energy’s Financial Regulation adopted by the Decision of the Governing Board of 22.10.2007 as last amended (available at: http://fusionforenergy.europa.eu/Procurements_and_grants_ref_docs.html).).

IN PARTICULAR, ECONOMIC OPERATORS SHALL BE EXCLUDED FROM PARTICIPATION IN THE PRESENT PROCUREMENT PROCEDURE IF:

a) they are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

b) They have been convicted of an offence concerning their professional conduct by a judgment which has the force of res judicata;

c) they have been guilty of grave professional misconduct proven by any means which Fusion for Energy can justify;

d) they have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of Fusion for Energy or those of the country where the contract is to be performed;

e) they have been the subject of a judgment which has the force of res judicata for fraud, corruption, involvement in a criminal organization or any other illegal activity detrimental to the Fusion for Energy’s or to the European Union’s financial interests;

f) they are currently subject to an administrative penalty imposed by the European Union institutions as referred to in the Financial Regulation applicable to the budget of the European communities;

g) they are subject to a conflict of interest;

h) they are guilty of misrepresentation in supplying the information required by Fusion for Energy as a condition of participation in the contract procedure or fail to supply information.

For all the sections above ((a) to (h)), each economic operator shall submit a declaration on honor duly signed and dated by its legal representative, stating that it is not in any of the above situations (see Annex 01 “Declaration on Honor” available at https://industryportal.f4e.europa.eu).

In addition for the sections above (g) a declaration of any related ITER work performed in the last 5 (five) years by the candidate, any of the economic operators pertaining to the candidate or by nominated subcontractors.

In case of joint requests to be selected to tender (groupings), the above exclusion criteria will be assessed INDIVIDUALLY FOR EACH MEMBER OF THE GROUPING. Therefore, the declaration on honor, duly signed and dated, stating that the candidate is not in one of the above mentioned situation, must be provided by each member of the grouping. If one member of the grouping is excluded, the rest of the grouping shall be excluded if the grouping, after exclusion of this member, fails to meet the selection criteria. The same applies to the subcontractors of the grouping or an economic operator, of which capacities are relied on in order to meet the conditions for participation to this tendering procedure.

THE TENDERER TO WHOM THE CONTRACT IS TO BE AWARDED SHALL PROVIDE, within a time limit defined by the joint undertaking and preceding the signature of the contract, the relevant documentary evidence, as detailed in the tender documentation.

The following documents will be accepted as proof that the tenderer is not in any of the situations mentioned under sections a), b), c), d), e) and f):

i. for a), b) and c), the production of a recent extract from the judicial record or, failing that, an equivalent document recently issued by a judicial or administrative authority in the country of origin, showing that those requirements are satisfied;

ii. for d), a recent certificate issued by the competent authority of the Member State concerned.

Where the document or certificate referred to above is not issued in the country concerned, it may be replaced by a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin;

iii. for e) and f), the tenderer will have to provide a sworn or, failing that, a solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance.

Depending on the national legislation of the country in which the tenderer is established, the documents referred to above shall relate to legal persons and/or natural persons including company directors or any person with powers of representation, decision-making or control in relation to the tenderer.

Fusion for Energy may waive the obligation of the winning tenderer to submit this evidence if it has already been submitted to Fusion for Energy for the purposes of another procurement procedure and provided that the documents are not more than one year old starting from their issuing date and that they are still valid.

Situación económica y financiera:

The candidate must have adequate financial and economic capacity to perform the contract within the indicated timeframe. To this end, the following documents shall be provided by the candidate, and, in case of a joint request to be selected to tender, by each member of the grouping, or by each subcontractor of which economic and financial capacities are relied on in order to meet the conditions for participation to this tendering procedure, as the case may be:

a) A statement on the good financial standing of the candidate from a credit/financial institution established within the members of Fusion for Energy (i.e., Member States of the European Union and Switzerland), having an external credit rating of at least BBB by Standard & Poor’s Credit Market Services Europe Limited, or equivalent;

b) Evidence of relevant professional risk indemnity insurance and decennial insurance under French law for economic operators established in France or equivalent for economic operators established outside France;

c) The balance sheets and profit and loss accounts for the last three financial years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established. The balance sheets and profit and loss accounts shall be presented both in their official format and on the template provided by Fusion for Energy (see Annex 02 “Economic Financial Capacity” available at https:// industryportal.f4e.europa.eu/default.aspx).

d) A declaration of the candidate’s overall turnover for the last three financial years in relation to which the accounts have been closed.

e) A declaration of the candidate’s overall cash flow for the last three financial years in relation to which the accounts have been closed.

A newly established economic operator, which does not have the above data/documents for the last three financial years, in order to pass the financial selection criteria, may rely on the capacities of other entities including subcontractors regardless of the nature of the legal nature of the links which it has with them. Such economic operator must in that case prove that it will have at its disposal the financial resources necessary for the performance of the contract, by providing an undertaking to place those financial resources at its disposal in the form set out in Annexes 05 and 06 for the case the contract is signed between the candidate and Fusion for Energy, and the parent company/third party will be evaluated as if they were member of the grouping,

For the assessment of the economic and financial capacity, the following ratios/noteworthy values and threshold will be considered (for these calculations the average of each parameter over the last 3 financial years according to information provided in Annex 2 will be considered):

A. Minimum viability standards

For these calculations the average total points “T”, representing the sum of average Sub-Totals (from ST1 to ST4) over the last three financial years according to the information provided in Annex 02, will be considered. Nota: “i” means “indicator”.

ST1: Liquid Ratio = [(Current Assets) - (Stocks)] / (Current Liabilities) x 100 if i <50: 0 points if 50 ≤ i ≤100: 1 point if i > 100: 2 points.

ST2: Profit Margin = (Profit.Loss before tax & extra.items) / (Turnover) x 100 if i < 2: 0 points if 2 ≤ i≤ 4: 1 point if i > 4: 2 points.

ST3: Gross Margin = (Gross Profit) / (Turnover) x 100 if i < 4: 0 points if 4 ≤ i ≤ 8: 1 point if i > 8: 2 points.

ST4: Solvency = (Total Equity) / (Total Assets) x 100 if I < 0: 0 points if 0 ≤ i ≤ 10: 1 point if i > 10: 2 points.

B. Noteworthy values/ratios to be achieved.

Turnover.

Noteworthy value: average overall turnover over the past three financial years.

Evaluation: negative if noteworthy value < 40 000 000 EUR.

Simplified cash flow = (Net Profit) + (Depreciation) - (Extra. Revenues) + (Extra. Expenses).

Noteworthy value: average cash flow over the past three financial years.

Evaluation: negative if ratio < 3 000 000 EUR.

Niveles mínimos de normas:

The economic and financial capacity of the candidate is considered adequate for performance of the contract if: the total of points T is ≥ 4, AND, at least one of the two noteworthy values/ratios under B (turnover or simplified cash flow) is considered positively.

With regard to joint requests to be selected to tender (groupings), the minimum viability standards will be assessed for each member of the grouping individually and the noteworthy values will be assessed for the grouping as a whole.

If, for some exceptional reason which Fusion for Energy considers justified, the candidate is unable to provide the references requested above, its economic and financial capacity may be proven by any other means which Fusion for Energy considers appropriate.

In order to fulfill the requirements and meet the minimum levels indicated above, an economic operator may, when necessary, rely on the financial capacity of (an)other economic operator(s) including subcontractors, regardless of the nature of the legal relationships which it has with this/these economic operator(s). In such case, the above mentioned other economic operator(s) will be evaluated as if they were a member of the grouping. Therefore, the minimum viability standards will be assessed individually for each subcontractor of which economic and financial capacities are relied on in order to meet the conditions for participation to this tendering procedure. The economic operator shall in that case prove to Fusion For Energy that it will have at its disposal the resources necessary for performance of the contract, by providing an undertaking to place those financial resources at its disposal in the form set out in Annexes 05 and 06 for the case the contract is signed between the candidate and Fusion for Energy. Capacidad técnica y profesional:

The candidate shall provide the following in the request to be selected to tender:

a) A list of 5 (five) reference contracts completed by the economic operator within the last 5 (five) years for a scope of work that is similar to the works described under section II.1.5. The template of Annex 03 (available at https://industryportal.f4e.europa.eu) shall be duly completed for each of the 5 (five) reference contracts. All 5 (five) contracts proposed must have been completed within the last 5 (five) years (as proof a completion, taking over or similar certificate shall be provided for each contract containing information able to provide proof for the above requirement). In case of a grouping of economic operators, the 5 (five) reference contracts, as referenced above, may be provided by different members of the grouping or by any subcontractor of which technical capacities are relied on in order to meet the conditions for participation to this tendering procedure.

b) A report describing the 5 (five) reference contracts provided under section III.2.3 including client’s certificates of satisfaction with a maximum of 5 (five) pages per reference contract. The report shall include 1 (one) A4 format page per reference contract with pictures of the works. The report shall at least provide justification regarding the following aspects of the reference contracts indicated:

i. The indicated contract features (see lines 26 to 35 of Annex 03),

ii. The indicated contract complexities (if applicable) (see lines 36 to 40 of Annex 03).

If no description and justification is provided in the report for the contract features and complexities that are marked “yes” in Annex 3, they cannot be counted to reach the minimum required number of points (see below under sub b) of the section “Minimum level(s) of standards possibly required“) or under the section “Objective criteria for choosing the limited number of candidates” (see below under IV.1.2).

c) Description of the manpower. The description of the manpower shall include: the average annual number of employees of the economic operator for each of the last 3 (three) years, the current organizational flowchart/organigram of the economic operator.

d) The training rate of the candidate over the last 3 (three) years calculated as follows: [number of hours of training on health and safety at work / total number of hours worked] x 100. The template of Annex 03 (available at https://industryportal.f4e.europa.eu) shall be duly completed (using the “H&S Training” tab).

In order to fulfill the requirements, an economic operator may, when necessary, rely on the technical capacity of (an)other economic operator(s) including subcontractors, regardless of the nature of the legal relationship which it has with this/these economic operator(s). In such case, the above mentioned other economic operator(s) will be evaluated as if they were a member of the grouping, thus, all the documentation required under point III.2.3 shall be provided by such economic operator(s), where necessary. The economic operator shall in that case prove to Fusion for Energy that it will have at its disposal the resources necessary for performance of the contract, by providing an undertaking to place those resources at its disposal in the form set out in Annexes 05 and 06 for the case the contract is signed between the candidate and Fusion for Energy. Annex 05 and Annex 06 are available at https://industryportal.f4e.europa.eu.

Niveles mínimos de normas:

i. The minimum value of each of the 5 (five) reference contracts under section III.2.3 above shall not be less than 10 000 000 EUR (ten million euro) each and at least 1 (one) reference contract must concern a large infrastructure project. A infrastructure project is considered as large for the purpose of this Call for Expression of Interest if it consist of an overall contract amount of more than 100 (hundred) Million Euros and has had a duration of at least 2 yearsFor the calculation of the minimum values above, the amount at completion indicated in line 23 ‘Amount at Completion, including any agreed change in the amount’ is taken into account for each reference contract (see Annex 03 - Contract #1 –Contract #5 tab - line 23 ‘Amount at Completion, including any agreed change in the amount’). The amount is corrected in accordance with the percentage of work completed by the economic operator(s) within the grouping issuing this request to be selected (including any subcontractors) (see Annex 03 - Contract #1 – Contract #5 tab - line 16 ‘Percentage of work completed by the economic operator’) (this correction is done automatically in line 23 of the “Contract Matrix” tab).

ii. Relevance of candidate’s experience in relation to this procurement, measured against the 5 (five) reference contracts required under section III.2.3 (a), listed in the duly filled template of Annex 03 (available at https://industryportal.f4e.europa.eu) and justified in the report required under section III.2.3 (b).

Annex 03 lists the relevant contract features (see lines 26 to 35 of Annex 03). 1 (one) point will be awarded for each contract feature demonstrated for the 5 (five) reference contracts. The minimum number of points required is 5 (five) for each reference contract and 30 (thirty) for the 5 (five) reference contracts combined.

iii. The minimum average number of employees of the economic operator under section III.2.3 (c) shall be 250 (two-hundred fifty) employees in the last 3 (three) years. In case of a grouping the number of employees of the grouping as a whole shall be taken into account (including subcontractors of which technical capacities are relied on in order to meet the conditions for participation to this tendering procedure).

Sums due shall be paid within no more than forty-five calendar days from the date on which an admissible payment request is registered by the responsible authorizing officer. The date of payment shall be understood to mean the date on which Fusion for Energy's account is debited.

Forma jurídica que adoptará la agrupación de operadores económicos adjudicataria del contrato:

Requests to be selected to tender may be submitted by groupings of economic operators (i.e. a natural or legal person or public body offering the execution of work and/or supplies and/or services) that will not be required to adopt a particular legal form prior to the contract being awarded, provided that each member of the grouping is jointly and severally liable towards Fusion for Energy. If the grouping has not yet adopted any legal form, the grouping of economic operators shall be aware of that, if the contract is awarded to them, Fusion for Energy will require them to sign a “power of attorney” based on a model provided by Fusion for Energy, which provides for a form of cooperation. Accordingly, a grouping of economic operators will have to nominate a coordinator to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the resulting contract and for coordination and safety.

Otras condiciones particulares:

An economic operator shall not be coordinator of more than one grouping for this procedure. An economic operator shall not simultaneously participate as coordinator of a grouping in one request to be selected to tender and at the same time participate in a second request to be selected to tender either individually, or as a non-coordinating member of a grouping, or as a subcontractor of the grouping or an economic operator in order to meet the conditions for participation to this tendering procedure, in which case Fusion for Energy will treat such subcontractor for the purpose of this tendering procedure as a member of the grouping.

Groupings of economic operators shall provide the documents and information required under sections III.2.1, III.2.2 and III.2.3 (c) and (d) for EACH MEMBER OF THE GROUPING. The documents and information required under sections III.2.3 (a) and (b) shall be provided for THE GROUPING AS A WHOLE.

Criterios objetivos para la selección:

Fusion for Energy will first exclude the candidates which are non-compliant with an administrative, legal or financial requirement (see section III.2.1.) and which cannot demonstrate adequate financial, economic or technical capacity levels (see sections III.2.2 and III.2.3). Fusion for Energy shall then rank the candidates according to the following criteria with a maximum of 135 (one hundred thirty-five) points to be awarded (please refer to Annex 03 available at https://industryportal.f4e.europa.eu for the format to be filled in):

a) Relevance of candidate’s technical experience in relation to this procurement, measured against the 5 (five) reference contracts required under section III.2.3 (a), listed in the duly filled template of Annex 03 (available at https://industryportal.f4e.europa.eu) and justified in the report required under section III.2.3 (b). Annex 03 lists the relevant contract features (see lines 26 to 35 of Annex 03). One point will be awarded for each contract feature (see lines 26 to 35 of Annex 03) that can be demonstrated for the 5 (five) reference contracts. The maximum number of points is 50 (fifty).

b) Additional relevance of candidate’s experience on complex/high technical issues encountered in projects in relation to this procurement, measured against the 5 (five) reference contracts required under section III.2.3 (a), listed in the duly filled template of Annex 03 (available at https://industryportal.f4e.europa.eu) and justified in the report required under section III.2.3 (b). Annex 03 lists the relevant contract complexities (see lines 36 to 40 of Annex 03). Points will be awarded for each contract complexity demonstrated for the 5 (five) reference contracts as indicated below. The maximum number of points is 65 (sixty-five), considering a maximum of 13 (thirteen) points per contract.

i. Line 36 of Annex 03: Implementation of the documentation management system (if “yes”: 2 (two) points for each reference contract).

ii. Line 37 of Annex 03: Installation of cables in in trenches tunnel and galleries > 40 km (if “yes”: 2 (two) points for each reference contract) iii. Line 38 of Annex 3: Installation of cable trays in trenches tunnel and galleries > 20 km (if “yes”: 2 (two) points for each reference contract) iv. Line 39 of Annex 3: Interference on site with other contractors executing a “works” contract (if “yes”: 4 (four) points for each reference contract) v. Line 40 of Annex 3: Original duration of contract > 3 years (if “yes”: 3 (three) points for each reference contract).

c) The dedication of the economic operator to health and safety at work measured against the training rate. Points will be awarded as follows: The maximum number of points that can be obtained is 20 (twenty). - if Tr is < 2 then number of points = Tr x 10 (rounded up to integer) - if Tr is ≥ 2 then number of points = 20 (twenty) “Tr” = training rate of the economic operator over the last three years calculated as follows: number of hours of training on health and safety at work / total number of hours worked x 100. In case of grouping the average of the training rate of the members of the grouping will be taken into account, including subcontractors of the grouping, or an economic operator, of which technical capacities are relied on in order to meet the conditions for participation to this tendering procedure.

The request to be selected to tender shall consist all the documentation requested under section III.2 and it shall be delivered in 1 (one) original, 2 (two) paper copies and 1 (one) CD-ROM or DVD containing both the PDF and native file formats. The request to be selected to tender shall be placed inside a sealed inner envelope, the inner envelope shall be signed astride the juncture(s) and transparent tape shall be stuck on top of the signature. The inner envelope shall read exactly as follows: “Expression of Interest F4E-OPE-428 - not to be opened by the internal mail services”. The inner envelope shall be placed inside the outer envelope, shall be addressed to the Procurement Officer indicated under section I.1 and shall be marked as follows: “Expression of Interest F4E-OPE-428 - not to be opened by the internal mail services”.

This contract notice has been published also on the Fusion for Energy industry portal website (https://industryportal.f4e.europa.eu).

Economic operators shall be aware that any further communication related to the present call for expressions of interest will only be published on the Fusion for Energy industry portal website, as referenced above. It is therefore strongly suggested to regularly visit the above mentioned website.

By submitting a request to be selected to tender the economic operator agrees that Fusion for Energy may publish on its website a list with the names and addresses of the selected candidates. In case the economic operator does not agree to this, he shall express this disagreement in writing to the Procurement Officer (section I.1), before the time limit for receipt of the requests to be selected to tender expires (section IV.3.4).

APPLICABLE RULES.

This procurement procedure is governed by the rules laid down in the Financial Regulation of Fusion for Energy adopted by the Decision of the Governing Board of 22 October 2007 as last amended and the Implementing Rules of the Financial Regulation adopted by the Decision of the Governing Board of 22 October 2007 as last amended. These rules are available at: http://fusionforenergy.europa.eu/Procurements_and_grants_ref_docs.html.

In addition, the following rules are applicable to this procurement procedure: o the Protocol on Privileges and Immunities of the European Communities (Official Journal C 310, 16.12.2004, p. 262), and o if applicable, Council Regulation (EC) No 428/2009 of 5 May 2009 (Official Journal L 134, 29.5.2009, p. 1) on export control.

The official language of Fusion for Energy is English. All documentation provided shall be in English or accompanied by an official translation of the relevant parts. Note that Fusion for Energy may request a certified translation in the case of ambiguity. Failure to comply with this requirement, may lead to the exclusion of the candidate from the procurement procedure.

In accordance with Article 90 of Fusion for Energy’s Financial Regulation, Fusion for Energy may, before the contract is signed, either abandon or cancel the award procedure or part thereof without the candidates being entitled to claim any compensation.
