However this documentation is subject to modification and the reference document for the preparation of the offer is the tender documentation that will be provided by F4E once the selection of candidates will be done. By submitting a request to participate, the economic operator agrees that Fusion for Energy may publish on its webpage a list with the names and addresses of the selected candidates. In case the economic operator does not agree to this, he shall express this disagreement in writing to the Procurement Officer (Section I.1), before the time limit for receipt of the requests to be selected to tender expires (Section IV.3.4). Applicable rules. This procurement procedure shall be open on equal terms to economic operators that are nationals of a member of Fusion for Energy or are established in the territory of a member of Fusion for Energy (i.e. Member States of the European Union and Switzerland).

The following information and documents shall be provided in the request to be selected to tender:

a) Full name of the economic operator, legal form, address of the registered office, telephone and fax numbers, statutory registration number, date of registration, VAT registration number, person authorised to sign on behalf of the economic operator, details of the contact person responsible for the request to be selected to tender.

(Please refer to Annex 4 “Company Identification Form” available at https://industryportal.f4e.europa.eu/default.aspx).

b) Commercial undertakings shall provide a transcript or a certificate issued by the competent body (i.e. the commercial register in the country of origin or the country of the registered office of the economic operator) or their act of incorporation as commercial undertaking. Non-commercial undertakings may provide a copy of their act of incorporation if, under the law of their country of origin or the country of their main office, they are not subject to public registry. Natural persons shall provide a copy of their passport or other equivalent identification document.

c) A power of attorney duly completed and signed to demonstrate that the person signing is entitled to take a commitment on behalf of the economic operator.

d) A declaration that in the event the economic operator (or grouping) is invited to tender, its tender will include a declaration that it understands that ITER has been designated by France as an “Installation Nucléaire de Base” (INB) and that French nuclear regulations will be applicable to part of the activities to be undertaken under the contract. The economic operator should therefore be able to demonstrate that the personnel responsible for these activities are suitably qualified to work in accordance with those regulations.

In order to be able to participate in this tendering procedure, candidates must not find themselves in any of the exclusion situations referred to in Articles 83 and 84 of Fusion for Energy’s Financial Regulation adopted by the Decision of the Governing Board of 22.10.2007 as last amended on 25.11.2011.

In particular, economic operators shall be excluded from participation in the present procurement procedure if:

a) they are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

b) they have been convicted of an offence concerning their professional conduct by a judgement which has the force of res judicata;

c) they have been guilty of grave professional misconduct proven by any means which Fusion for Energy can justify;

d) they have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of Fusion for Energy or those of the country where the contract is to be performed;

e) they have been the subject of a judgement which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Fusion for Energy’s or to the Community’s financial interests;

f) they are currently subject to an administrative penalty imposed by the Community institutions as referred to in the Financial Regulation applicable to the budget of the European Union;

g) they are subject to a conflict of interest;

h) they are guilty of misrepresentation in supplying the information required by Fusion for Energy as a condition of participation in the contract procedure or fail to supply information.

For all the points above ((a) to (h)), each economic operator shall submit a declaration on honour duly signed and dated by its legal representative, stating that it is not in any of the above situations (see Annex 1 “Declaration on Honour” available at https://industryportal.f4e.europa.eu).

In case of a joint request to be selected to tender (grouping), the above exclusion criteria will be assessed individually for each member of the grouping. Therefore, the declaration on honour, duly signed and dated, stating that the candidate is not in one of the above mentioned situation, must be provided by each member of the grouping. If one member of the grouping is excluded, the rest of the grouping shall be excluded if the grouping, after exclusion of this member, fails to meet the selection criteria.

The tenderer to whom the contract is to be awarded shall provide, within a time limit defined by Fusion for Energy and preceding the signature of the contract, the relevant documentary evidence, as detailed in the tender documentation.

The following documents will be accepted as proof that the tenderer is not in any of the situations mentioned under points a), b), d), e) and f):

i. for a), b) and e), the production of a recent extract from the judicial record or, failing that, an equivalent document recently issued by a judicial or administrative authority in the country of origin, showing that those requirements are satisfied;

ii. for d), a recent certificate issued by the competent authority of the Member State concerned.

Where the document or certificate referred to above is not issued in the country concerned, it may be replaced by a sworn or solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin;

iii. for f), the tenderer will have to provide a sworn or solemn statement made by the interested party before a judicial or administrative authority, a notary or a qualified professional body in its country of origin or provenance.

Depending on the national legislation of the country in which the tenderer is established, the documents referred to above shall relate to legal persons and/or natural persons including company directors or any person with powers of representation, decision-making or control in relation to the tenderer.

Fusion for Energy may waive the obligation of the winning tenderer to submit this evidence if it has already been submitted to Fusion for Energy for the purposes of another procurement procedure and provided that the documents are not more than one year old starting from their issuing date and that they are still valid.

Situación económica y financiera:

The candidate must have adequate financial and economic capacity to perform the contract within the indicated timeframe. To this end, the following documents shall be provided by the candidate, and, in case of a joint request to be selected to tender, by each member of the grouping:

a) Evidence of relevant professional risk indemnity insurance.

b) Evidence of decennial insurance under French law for economic operators established in France or equivalent for economic operators established outside France (if available in the country concerned).

c) The balance sheets and profit and loss accounts for the last three financial years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established.

The balance sheets and profit and loss accounts shall be presented both in their official format and on the template provided by Fusion for Energy (see Annex 2 “Economic Financial Capacity” available at https:// industryportal.f4e.europa.eu/default.aspx).

For the assessment of the economic and financial capacity, the following minimum viability standards and noteworthy values will be considered (for these calculations the average of each parameter over the last three financial years according to information provided in Annex 2 will be considered):

A. Minimum viability standards

For these calculations the average total points “T”, representing the sum of average Sub-Totals (from ST1 to ST4) over the last three financial years according to the information provided in Annex 2, will be considered. Nota: “i” means “indicator”.

ST1: Liquid Ratio = {[(Current Assets) - (Stocks)] / (Current Liabilities)} x 100 if i <50: 0 points if 50 ≤ i ≤100: 1 point if i > 100: 2 points.

ST2: Profit Margin = [(Profit.Loss before tax & extra.items) / (Turnover)] x 100 if i < 0: 0 points if 0 ≤ i≤ 4: 1 point if i > 4: 2 points.

ST3: Gross Margin = [(Gross Profit) / (Turnover)] x 100 if i < 0: 0 points if 0 ≤ i ≤ 8: 1 point if i > 8: 2 points.

ST4: Solvency = [(Total Equity) / (Total Assets)] x 100 if I < 0: 0 points if 0 ≤ i ≤ 10: 1 point if i > 10: 2 points.

B. Noteworthy values to be achieved.

Turnover.

Noteworthy value: average overall turnover over the past three financial years.

Evaluation: negative if noteworthy value < 30 000 000 EUR.

Simplified cash flow = (Net Profit) + (Depreciation) - (Extra. Revenues) + (Extra Expenses).

Noteworthy value: average cash flow over the past three financial years.

Evaluation: negative if ratio < 1 500 000 EUR.

Niveles mínimos de normas:

The economic and financial capacity of the candidate is considered adequate for performance of the contract if:

— the total of points T is ≥ 4, and

— at least one of the two noteworthy values/ratios under B (turnover or simplified cash flow) is considered positively.

With regard to joint requests to be selected to tender (groupings), the minimum viability standards will be assessed for each member of the grouping individually and the noteworthy values will be assessed for the grouping as a whole.

If, for some exceptional reason which Fusion for Energy considers justified, the candidate is unable to provide the references requested above, its economic and financial capacity may be proven by any other means which Fusion for Energy considers appropriate.

In order to fulfil the requirements and meet the minimum levels indicated above, an economic operator may, when necessary, rely on the financial capacity(y)(ies) of (an)other economic operator(s) including subcontractors, regardless of the nature of the legal relationships which it has with this/these economic operator(s). In such case, the above mentioned other economic operator(s) will be evaluated as if they were a member of the grouping. The economic operator shall in that case prove to Fusion For Energy that it will have at its disposal the resources necessary for performance of the contract, for example by producing an undertaking on the part of those economic operator(s) to place those resources at its disposal. Templates for this purpose are provided in Annexes 5 and 6 and are available at https://industryportal.f4e.europa.eu.

Capacidad técnica y profesional:

The candidate shall provide the following in the request to be selected to tender:

a) A list of 5 (five) reference contracts completed by the economic operator during the last 5 (five) years for a scope of work that is similar to the works described under section II.1.5. The template of Annex 3 (available at https://industryportal.f4e.europa.eu) shall be duly completed for each reference contract (using the “Contract #1” tab of Annex 3 for the first reference contract, the “Contract #2” tab for the second etc.). All five contracts proposed must have been completed within the last five years. In case of a grouping of economic operators, the 5 reference contracts, as referenced above, may be provided by different members of the grouping.

b) A report describing the 5 reference contracts provided under section III.2.3 (a) with a maximum of 1 000 words per reference contract. The report shall include 1 (one) A4 format page per reference contract with pictures of the works. The report shall at least provide justification regarding the following aspects of the reference contracts:

i. The indicated contract features (see lines 27 – 33 of Annex 3),

ii. The indicated contract complexities (if applicable) (see lines 34 – 36 of Annex 3),

iii. The contract/schedule data (see lines 21, 24 and 25 of Annex 3).

c) Any safety, environmental and quality certificate, issued by an official certifying body in the country of origin of the economic operator (see Annex 3).

d) The economic operator shall demonstrate a proper management system that is appropriate to the works and give proof that the management system is based on a recognized quality standard which meets the Employer’s Quality Assurance Program requirements, as defined by the IAEA Safety Requirements GS-R-3 or the ISO 9001:2008, as applicable, or as suitable, equivalent, implemented and documented management system.

The economic operator shall provide:

I) The implementation plan of one of the reference contracts proposed by the economic operator in III.2.3.a. The Implementation Plan includes but is not limited to the following documents:

— control plan,

— test plan,

— time schedule,

— execution plan or manufacturing and inspection plan,

— risk plan,

— health and safety plan,

— environmental plan.

II) General Quality Manual of the economic operator. In case of grouping it is only required the general Quality Manual of the economic operator that is providing the Implementation plan.

In order to fulfil the requirements, an economic operator may, when necessary, rely on the technical capacity of (an) other economic operator(s) including subcontractors; regardless of the nature of the legal relationship which it has with this/these economic operator(s). In such case, the above mentioned other economic operator(s) will be evaluated as if they were a member of the grouping. The economic operator shall in that case prove to Fusion for Energy that it will have at its disposal the resources necessary for performance of the contract, for example by producing an undertaking on the part of those economic operator(s) to place those resources at its disposal.

Templates for this purpose are provided in Annex 5 and 6 and are available at https://industryportal.f4e.europa.eu.

Niveles mínimos de normas:

a) The minimum average value of the 5 reference contracts under point III.2.3 a) above is 2 000 000 (two million) EUR (i.e.: sum of the reference contracts / 5 ≥ 2 000 000 EUR).

For the calculation of the minimum value the amount at completion shall be taken into account (see line 23 of Annex 3) and this amount shall be corrected in accordance with percentage of work completed by the economic operator(s) concerned (including subcontractors if any) (see line 16 of Annex 3).

b) Relevance of candidate’s experience in relation to this procurement, measured against the 5 reference contracts required under III.2.3 (a), listed in the duly filled template of Annex 3 (available at https://industryportal.f4e.europa.eu) and justified in the report required under III.2.3 (b) Annex 3 lists the relevant contract features (see lines 27 – 33 of Annex 3). One point will be awarded for each contract feature demonstrated for the 5 reference contracts.

The minimum number of points required is 3 (three) for each reference contract and 20 (twenty) for the 5 reference contracts combined.

c) Merits of the provided Implementation plan and quality manual assessed in terms of detail, exhaustiveness and adequacy including also the procedure to maintain its implementation during contract execution provided under III.2.3 (d), and the safety, environmental and quality certificates provided under III.2.3 (c). In case of a grouping at least half of the members of the grouping must hold the certification in order to be entitled to the points. Points will be granted as follows:

(i) Certificates

Official safety certification, if provided 1 point maximum.

Official quality certification, if provided 1 point maximum.

Official environment certification, if provided 1 point maximum.

In case of a grouping at least half of the members of the grouping must hold the certification in order to be considered as compliant.

— Quality Manual.

None existing general quality management system in the company or a quality system that is not able to ensure sufficiently a general quality management on the level of a company.

Ejecución del contrato
Depósitos y garantías exigidos:

Advance payment guarantees and performance guarantees as stated in the contract documents (to be issued), shall apply.

Sums due shall be paid within no more than 45 (forty five) calendar days from the date on which an admissible invoice is received by Fusion for Energy. The date of payment shall be understood to mean the date on which Fusion for Energy's account is debited.

Forma jurídica que adoptará la agrupación de operadores económicos adjudicataria del contrato:

Requests to be selected to tender may be submitted by groupings of economic operators (i.e. a natural or legal person or public body offering the execution of work and/or supplies and/or services) who will not be required to adopt a particular legal form prior to the contract being awarded, provided that each member of the grouping is jointly and severally liable towards Fusion for Energy. However, a grouping of economic operators shall nominate a coordinator to be responsible for the receipt and processing of payments for members of the grouping, for administrative management of the resulting contract and for coordination and safety.

Otras condiciones particulares:

An economic operator shall not be coordinator of more than one grouping for this procedure. An economic operator shall not simultaneously participate as coordinator of a grouping in one request to be selected to tender and at the same time participate in a second request to be selected to tender either individually, or as a non-coordinating member of a grouping, or as a subcontractor of the grouping or an economic operator in order to meet the conditions for participation to this tendering procedure, in which case Fusion for Energy will treat such subcontractor for the purpose of this tendering procedure as a member of the grouping.

Groupings of economic operators shall provide the documents and information required under points III.2.1 (b), (c) and (d), III.2.2 (a), (b), and (c) and III.2.3 (c), and (d) for each member of the grouping. The documents and information required under points III.2.1 (a) and III.2.3 (a) and (b) shall be provided for the grouping as a whole.

Procedimiento
Justificación del procedimiento acelerado:

Initially galleries were part of the call for tender for erection of the buildings. Due to unforeseen events, the galleries shall be completed within a separate Contract, in urgency.

The realisation of those works cannot be done on time if using the open (i) or restricted procedure (ii).

The works of the galleries and tunnels needs to be done by February 2013 prior to the erection of the buildings,, and erection of the cranes.

Therefore, as a consequence the works for the galleries and tunnels have to start preferably on the 15.5.2012, the mid July /2012 the latest.

(i) Impossibility to comply with time limit of an open procedure.

The use of an open procedure, during approximately 140 days (4,5 months) will lead to a start of the works in August and therefore too late.

ii) Impossibility to comply with the time limits of a restricted procedure.

The restricted procedure (Art.88-91 IR) needs more time than the open procedure before the evaluation of offers can start. Therefore it is not appropriate to the situation.

The fast track procedure (Art. 135.8 IR) can comply with the condition to start on the mid July the latest.

iii) Substantiated urgency of the situation.

Unforeseeable events have had a direct impact on the schedule of the buildings construction contract, where the galleries were initially included endangering the ITER.

Project schedule.

The construction of the buildings is currently on the critical path of the ITER schedule and to be on time the construction of the galleries and tunnels needs to be done before the buildings erection starts.

The due date for delivering the buildings is not changed in the overall schedule of the ITER Project, but the buildings contract signature is substantially delayed (now the expected date is December 2012), due to the following reasons that are not attributable to the Joint Undertaking:

1. Modification of the safety requirements included in the call for tender for erection of the buildings, which was requested by the Nuclear Operator as a consequence of the Fukushima event, delaying the buildings contract signature.

2. Subsequent numerous major changes in the design entailed by the modification of the safety requirements:

— additional shielding requirements,

— new heat loads provided,

— implementation of a separate sprinkler system in the Tritium building.

However this documentation is subject to modification and the reference document for the preparation of the offer is the tender documentation that will be provided by F4E once the selection of candidates will be done.

Request to be selected to tender.

… be concise and well structured and the information provided shall go straight to the point. The deadline for submission of the request to be selected to tender is indicated in section IV.3.4) of this Contract Notice.

Section III.2 and it shall be delivered in 1 (one) original, 2 (two) paper copies and 1 (one) CD-ROM or DVD containing both the PDF and native file formats. The request to be selected to tender shall be placed inside a sealed inner envelope, the inner envelope shall be signed astride the juncture(s) and transparent tape shall be stuck on top of the signature. The inner envelope shall read exactly as follows: “Expression of Interest F4E-OPE-406 - not to be opened by the internal mail services”. The inner envelope shall be placed inside the outer envelope, shall be addressed to the Procurement.

Officer indicated under Section I.1 and shall be marked as follows: “Expression of Interest F4E-OPE-406 - not to be opened by the internal mail services”.

This Contract Notice has also been published on the Fusion for Energy industry portal website (https://industryportal.f4e.europa.eu) Economic operators shall be aware that any further communication related to the present call for expressions of interest will only be published on the Fusion for Energy industry portal website, as referenced above. It is therefore strongly suggested to regularly visit the above mentioned webpage.

By submitting a request to participate, the economic operator agrees that Fusion for Energy may publish on its webpage a list with the names and addresses of the selected candidates. In case the economic operator does not agree to this, he shall express this disagreement in writing to the Procurement Officer (Section I.1), before the time limit for receipt of the requests to be selected to tender expires (Section IV.3.4).

Applicable rules.

This procurement procedure is governed by the rules laid down in the Financial Regulation of Fusion for Energy adopted by the Decision of the Governing Board of 22.10.2007 as last amended on 25.11.2011 and the Implementing Rules of the Financial Regulation adopted by the Decision of the Governing Board of 22.10.2007 as last amended on 25.11.2011.

Fusion for Energy is not subject to the European Directives 2004/17 and 2004/18.

The official language of Fusion for Energy is English. All documentation provided shall be in English or accompanied by an official translation (certified unless otherwise agreed with Fusion for Energy) of the relevant parts. Failure to comply with this requirement, may lead to the exclusion of the candidate from the procurement procedure.

In accordance with Article 90 of Fusion for Energy’s Financial Regulation, Fusion for Energy may, before the contract is signed, either abandon or cancel the award procedure without the candidates being entitled to claim any compensation.
